Services
2.1 Our fulfillment center provides comprehensive inventory management, storage, order processing, and shipping services for e-commerce sellers.
2.2 We reserve the right to modify, suspend, or terminate any services or features provided by the fulfillment center without prior notice.

Account Registration
3.1 To use our fulfillment center services, you must create an account and provide accurate and complete information during the registration process.
3.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.
3.3 You agree to notify us immediately of any unauthorized use or suspected security breaches of your account.

Fees and Payments
4.1 Sellers are responsible for paying fees associated with our fulfillment center services, including handling, storage, and shipping fees.
4.2 The specific fees and payment terms will be outlined in the Fulfillment Agreement or as mutually agreed upon between the fulfillment center and the sellers.
4.3 Failure to pay fees in a timely manner may result in the suspension or termination of the fulfillment center services.

Inventory Management
5.1 Sellers are responsible for shipping their products to our fulfillment center. All shipping costs and arrangements are the sole responsibility of the sellers.
5.2 Upon receiving the products, we will manage and store the inventory in accordance with the Inventory Management guidelines outlined in the Fulfillment Agreement.
5.3 Sellers are responsible for providing accurate and detailed product information, including SKU numbers, product descriptions, and other relevant details necessary for inventory management and order processing.

Order Processing and Shipping
6.1 Sellers are responsible for processing customer orders through our website or agreed-upon channels.
6.2 We will make reasonable efforts to process and fulfill orders promptly and accurately.
6.3 We will ship orders to customers based on the shipping information provided by the sellers. It is the sellers' responsibility to ensure accurate and up-to-date shipping information is provided.

Liability and Disclaimers
7.1 We are not responsible for any loss, damage, or theft of sellers' inventory during storage or shipping. Sellers are strongly encouraged to obtain appropriate insurance coverage to protect their products.
7.2 Sellers agree to indemnify and hold the fulfillment center harmless from any claims, damages, or losses arising from the use of the fulfillment center services.
7.3 We do not guarantee the availability, accuracy, or reliability of our fulfillment center services. We disclaim any warranties, express or implied, regarding the services provided.

Termination
8.1 Either party may terminate the Fulfillment Agreement by providing written notice to the other party.
8.2 Termination will be subject to any applicable termination fees or outstanding obligations, as outlined in the Fulfillment Agreement.

Intellectual Property
9.1 All intellectual property rights related to our fulfillment center services, including logos, trademarks, and software, are owned by the fulfillment center.
9.2 You may not use, reproduce, modify, or distribute our intellectual property without our prior written consent.

Governing Law
10.1 These Terms of Use and any disputes arising out of or related to these terms shall be governed by and construed in accordance with the laws of the jurisdiction where the fulfillment center is located, without regard to its conflict of law principles.
10.2 Any legal action or proceeding arising out of or related to these Terms of Use shall be brought exclusively in the courts of the jurisdiction where the fulfillment center is located.
10.3 Both parties submit to the personal jurisdiction of such courts and waive any objection based on inconvenient forum or jurisdictional grounds.

Dispute Resolution
11.1 In the event of any dispute or claim arising out of or relating to these Terms of Use or the fulfillment center services, the parties shall attempt to resolve the dispute through good faith negotiations.
11.2 If the dispute cannot be resolved through negotiation, either party may choose to initiate arbitration or mediation in accordance with the rules and procedures set forth in the Fulfillment Agreement or as agreed upon by both parties.
11.3 The decision reached through arbitration or mediation shall be binding on both parties and may be enforced in any court of competent jurisdiction.

Modifications
12.1 We reserve the right to modify or update these Terms of Use at any time without prior notice.
12.2 Any modifications to these Terms of Use will be effective upon posting on our website or providing notice to the sellers.
12.3 By continuing to use the fulfillment center services after the effective date of any modifications, you agree to be bound by the revised Terms of Use.

Severability
13.1 If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable, it shall be modified or interpreted to the extent necessary to make it valid, legal, and enforceable while reflecting the original intent as closely as possible.
13.2 If the provision cannot be modified or interpreted to be valid, legal, and enforceable, it shall be deemed severed from these Terms of Use, and the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.
13.3 In such a case, the parties shall negotiate in good faith to replace the invalid, illegal, or unenforceable provision with a valid, legal, and enforceable provision that achieves, to the extent possible, the intended economic, legal, and commercial result of the invalid, illegal, or unenforceable provision.
13.4 The invalidity, illegality, or unenforceability of any provision in any jurisdiction shall not affect the validity, legality, or enforceability of that provision or any other provision in any other jurisdiction.
13.5 The waiver by either party of any breach or violation of any provision of these Terms of Use shall not operate or be construed as a waiver of any subsequent breach or violation of that provision or as a waiver of any other provision of these Terms of Use.

Entire Agreement
14.1 These Terms of Use, along with the Fulfillment Agreement and any other agreements or policies referenced herein, constitute the entire agreement between the parties regarding the fulfillment center services.
14.2 These Terms of Use supersede any prior agreements, discussions, or representations, whether oral or written, relating to the subject matter herein.
